Lufthansa Group has welcomed the Portuguese government's decision to select its offer in the privatization process for TAP Air Portugal. The German aviation group has proposed paying €1.025 billion for a 44.9% stake in the Portuguese airline, with the potential transaction value rising to €1.2 billion if its participation increases to 49.9%. The decision marks an important step in a privatization process that could reshape airline competition and connectivity between Europe, North America and Latin America.
The proposed investment would initially give Lufthansa Group a minority holding in TAP while preserving the Portuguese carrier's national identity. Lufthansa intends to support TAP's expansion and strengthen Portugal's international air connections, particularly across the Atlantic. The airline's established position on South Atlantic routes is a central element of the strategic rationale behind the transaction.
Although the Portuguese government has selected Lufthansa Group's proposal, the acquisition has not yet been completed. The company is working with the government and the state holding company Parpública to finalize the transaction documents. The agreements are expected to be signed shortly, while completion remains subject to approval by the relevant authorities. Lufthansa Group has also expressed interest in the prospect of full privatization, indicating that a larger ownership position could form part of its longer-term strategy.
South Atlantic Network Drives Strategic Interest
TAP Air Portugal's international route network is particularly attractive to Lufthansa Group because of its established presence in markets connecting Europe with the Americas.
The Portuguese airline has developed a strong position in South Atlantic aviation, making its network complementary to Lufthansa Group's existing operations.
Carsten Spohr, Chairman of the Executive Board and CEO of Deutsche Lufthansa AG, described TAP as a profitable airline with an established business model and a long-standing relationship with Lufthansa through Star Alliance.
He emphasised that the proposed investment would allow Lufthansa Group to pursue its international expansion strategy while strengthening its position in the South Atlantic market.
For the international travel industry, the potential partnership is particularly relevant to connections between European departure markets and Latin American destinations.
Lisbon's geographical position and TAP's established transatlantic operations provide a foundation for connecting passengers travelling between Europe and markets across the Atlantic.
Closer cooperation within a larger airline group could eventually create opportunities for network coordination, distribution and connecting traffic. However, specific changes to routes, schedules or commercial agreements have not yet been announced.
Purchase Price Could Reach €1.2 Billion
Lufthansa Group's offer establishes a purchase price of €1.025 billion for 44.9% of TAP Air Portugal.
The amount could increase to as much as €1.2 billion if the group's participation reaches 49.9%. This possibility is linked to shares representing up to 5% of the airline that are initially being offered to employees, together with an additional payment mechanism described as a ticking fee.
The proposed structure would give Lufthansa Group a substantial minority position while leaving the question of further privatization open.
In its announcement, the company explicitly welcomed the Portuguese government's intention to initiate a process leading towards full privatization.
Lufthansa Group argues that its experience with previous airline acquisitions demonstrates the advantages of majority ownership for the companies and stakeholders involved.
Nevertheless, any further increase in its participation would depend on subsequent decisions and the applicable approval processes.
For TAP, the immediate priority remains the completion of the initial transaction and the establishment of a framework for future cooperation.
Lufthansa Expands Its Existing Portuguese Operations
The planned acquisition builds on Lufthansa Group's long-standing commercial presence in Portugal.
According to the company, it has operated in the Portuguese market for more than 70 years. Its airlines currently provide 353 weekly flights to six destinations in the country.
This represents a 75% increase in capacity compared with 2019, illustrating the group's growing commitment to the Portuguese market even before the proposed investment in TAP.
Lufthansa Group companies currently employ more than 500 skilled professionals in Portugal.
The company is also expanding its technical operations through a new Lufthansa Technik facility in Santa Maria da Feira, near Porto. Construction officially began in June 2026.
The investment is expected to increase Lufthansa Group's direct employment in Portugal to more than 1,000 positions by 2030.
These existing activities form part of the company's argument that the TAP investment represents an extension of a long-term relationship rather than an entirely new entry into the Portuguese aviation market.
Transaction Awaits Regulatory Approval
The selection of Lufthansa Group's proposal represents a significant development for TAP Air Portugal, but several steps remain before the ownership change becomes effective.
The German group is working with the Portuguese government and Parpública to complete the contractual arrangements.
Once the agreements have been signed, the transaction will still require approval from the relevant authorities.
Until these procedures are completed, TAP will remain outside Lufthansa Group's ownership structure.
For airlines, airports, tour operators and travel distributors, the proposed investment is noteworthy because it could eventually bring TAP's Atlantic network into closer cooperation with one of Europe's largest airline groups.
The potential implications extend beyond Portugal. A stronger relationship between Lufthansa Group and TAP could influence passenger flows between European hubs and destinations in North and Latin America.
The immediate outcome, however, is the selection of a preferred investor and the announcement of a financial offer. The commercial and operational consequences will become clearer only after the acquisition is finalized and the partners define their future cooperation.
